Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between 2Capacity, a company organized under the laws of the United Arab Emirates ("2Capacity," "we," "us"), and the individual or entity accessing or using the Service ("Customer," "you"). By registering for an account, clicking "I agree," signing an Order Form that references these Terms, or otherwise accessing the Service, you accept these Terms in full.
If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
2. The Service
2Capacity is a facility management platform for self-storage operators, covering unit inventory, lead and customer management, contracts, payments, financial records, reporting, and related AI-assisted tools ("Service"). We may add, change, or discontinue features from time to time as described in Section 15.
The Service is provided on a subscription basis under the plan selected at signup or set out in an Order Form. Some features described on our website or in product materials may be available only on certain plans.
3. Accounts & Eligibility
You must provide accurate registration information and keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of login credentials. Notify us promptly at hello@2capacity.com of any unauthorized use.
You must be at least 18 years old and have authority to enter contracts on behalf of the business using the Service. The Service is intended for business use by self-storage operators and their authorized personnel, not for personal or household use.
4. Subscription, Fees & Payment
Fees are set out at signup, in your account billing settings, or in an Order Form, and are quoted and billed in AED unless otherwise agreed. Except as required by law or expressly stated otherwise, fees are non-refundable.
- Subscription fees are billed in advance on a recurring basis (monthly or annual, as selected) and renew automatically unless cancelled before the renewal date.
- We may change pricing on renewal with at least 30 days' notice to the email on file.
- Overdue amounts may accrue late fees as permitted by applicable law, and we may suspend the Service for accounts more than 15 days past due after notice.
- You are responsible for applicable taxes, other than taxes on our net income.
5. Customer Data
"Customer Data" means the data you or your users submit to the Service, including facility, unit, lead, tenant, contract, and payment records. As between the parties, you own all Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide, secure, and support the Service, and to generate anonymized or aggregated analytics that do not identify you or your customers.
You are solely responsible for the accuracy, legality, and rights to use any Customer Data you upload, including any personal data of your own customers or leads (e.g. names, phone numbers, WhatsApp messages). Our processing of personal data contained in Customer Data on your behalf is governed by our Data Processing Agreement, which is incorporated by reference.
All facility names, unit counts, revenue figures, and customer names shown in 2Capacity marketing materials and demo environments are illustrative sample data.
6. Acceptable Use
You will not, and will not permit others to:
- Use the Service to store or transmit unlawful, infringing, defamatory, or fraudulent content;
- Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent this restriction is prohibited by law;
- Probe, scan, or test the vulnerability of the Service without our prior written consent;
- Resell, sublicense, or provide the Service to third parties as a service bureau, except as expressly permitted under a written agreement with us;
- Use the Service to send unsolicited bulk messages (spam) via WhatsApp, email, or any other channel, or otherwise violate the acceptable use policies of any integrated third-party platform;
- Introduce malware or attempt to gain unauthorized access to the Service or other customers' data.
7. Third-Party Integrations
The Service may integrate with third-party platforms you choose to connect, including WhatsApp Business (Meta), Google Contacts, Google Drive, and DocuSign. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party platforms, and integration functionality may change if a third party changes or discontinues its API.
Where the Service surfaces AI-generated suggestions (for example, drafted replies or pricing recommendations), these are provided as a starting point for your own review and judgment. You remain responsible for any communication sent or pricing decision made using the Service.
8. Intellectual Property
We and our licensors own all right, title, and interest in the Service, including its software, design, and documentation. Except for the limited rights expressly granted in these Terms, no rights are granted to you. Feedback you provide about the Service may be used by us without restriction or compensation to you.
9. Confidentiality
Each party will protect the other's non-public business, technical, and financial information disclosed under these Terms ("Confidential Information") using at least the same degree of care it uses for its own confidential information, and not less than reasonable care, and will use it only to perform its obligations or exercise its rights under these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is required to be disclosed by law (with notice to the other party where legally permitted).
10. Warranties & Disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms or a signed Order Form, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
We do not warrant that the Service will be uninterrupted, error-free, or that pricing suggestions, anomaly alerts, or AI-drafted content will be accurate or suitable for your circumstances without human review.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to these Terms, even if advised of the possibility of such damages.
Except for (1) a party's indemnification obligations, (2) breach of confidentiality, or (3) your payment obligations, each party's total liability arising out of these Terms will not exceed the fees paid or payable by you to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or gross negligence.
12. Indemnification
You will defend and indemnify us against third-party claims, damages, and reasonable costs arising from (1) your Customer Data, (2) your use of the Service in violation of Section 6 (Acceptable Use), or (3) your violation of applicable law. We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes a third party's intellectual property rights, excluding claims arising from Customer Data, your modifications, or use in combination with products not provided by us.
13. Term, Suspension & Termination
These Terms remain in effect while you have an active subscription. Either party may terminate for the other's material breach that remains uncured 30 days after written notice. We may suspend access immediately if we reasonably believe continued access poses a security risk, violates Section 6, or if fees remain unpaid as described in Section 4.
Upon termination, your right to use the Service ends. We will make Customer Data available for export for 30 days following termination, after which we may delete it, except as required for legal or accounting purposes.
14. Governing Law & Disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute not resolved informally within 30 days will be finally resolved by arbitration seated in Dubai, UAE, in accordance with the arbitration rules of the DIFC-LCIA (or its successor body), by one arbitrator, in the English language. Either party may seek interim injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide at least 15 days' notice by email or in-product notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to a material change, you may terminate your subscription before it takes effect.
16. General Provisions
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement. These Terms, together with any Order Form, the Privacy Policy, and (where applicable) the DPA and MSA, constitute the entire agreement between the parties regarding the Service and supersede prior agreements on the subject matter.
- Severability. If a provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Notices. Legal notices to us should be sent to the address in Section 17. Notices to you may be sent to the email on your account.
